Abstract

"this dissertation explores the merger of companies under Algerian legislation, through an analytical study of the legal framework governing this process as outlined in Articles 744 to 756 of the Commercial Code. It highlights the concept, types, phases, and legal requirements of mergers, as well as the legal implications for merged companies, creditors, shareholders, and employees. The research also compares Algerian regulations with those of other legal systems, such as French and Egyptian laws, in order to identify shortcomings and propose improvements. The study concludes that Algerian law lacks precision and comprehensive provisions, and calls for clearer legal safeguards to protect all parties involved in corporate mergers."
