Abstract

"Corporate governance principles play a key role in strengthening the protection of shprgh esgrs’o rightso eyo ar i tirgo trprsaprgroy,o poo urtpeieityo prso gqupeityo pi rgsto thgi,o thereby helping to ensure the stability of the company and strike a balance between the various stakeholders within it. In this context, the Algerian legislature has established legal mechanisms to protect shareholders from the abuse of power by managers and mismanagement, through civil and criminal remedies. The study concluded that the legislator sought to provide legal protection for shareholders; however, it did not establish a unified and independent legal framework for corporate governance principles, but rather enshrined them within scattered provisions of the Commercial Code, thereby limiting the effectiveness of their application ."
